ANNOUNCEMENT REGARDING THE DISPOSAL OF PROPERTIES AND CIRCULAR


Ingenuity shareholders (“Shareholders”) are referred to the SENS 
announcement dated 20 April 2018 wherein Shareholders were advised 
that the Company had entered into an agreement with Sanlam
Life Insurance Limited (the “Purchaser”), in terms of which 
Ingenuity will dispose of certain properties to the Purchaser 
(the “Disposal”).

The Disposal is classified as a Category 1 transaction in terms 
of the JSE Listings Requirements (“Listings Requirements”), which 
requires, inter alia, the distribution of a circular containing 
full details of the Disposal (the “Circular”) to Shareholders and 
compliance with paragraph 9.20(b) of the Listings Requirements, 
which states that within 60 days of the terms of a Category 1 
transaction being agreed, an issuer must dispatch a circular to its 
shareholders.

Ingenuity hereby wishes to advise Shareholders that the JSE has 
granted an extension for the Circular to be distributed to 
Shareholders by no later than the end of August 2018.
