FULFILMENT OF CONDITIONS PRECEDENT AND IMPLEMENTATION OF THE DISPOSAL OF ACTIVO AND ITS
SUBSIDIARIES
Shareholders are referred to the category 2 disposal announcement released by AfroCentric on the Stock Exchange
News Service (“SENS”) on Thursday, 23 April 2026 (“Category 2 Announcement”).
All capitalised terms used but not defined in this announcement shall bear the meanings ascribed to them in the Category
2 Announcement.
In terms of the Category 2 Announcement, Shareholders were advised that the Original Transaction had been replaced
by the Revised Terms outlined in the Category 2 Announcement and, specifically, that: (i) ACT HA had entered into a
new sale and purchase agreement with FHC Group and FHC in terms of which ACT HA agreed to dispose of its entire
shareholding in its wholly-owned subsidiary Activo; and (ii) ACT HA, AHL and Activo had entered into a cession
agreement with FHC Group and FHC in terms of which AHL agreed dispose of all Sale Claims against Activo, to FHC.
The board of directors of Afrocentric is pleased to inform shareholders that all Conditions to the Disposal have been
fulfilled and, accordingly, the Disposal has been implemented, on Monday, 31 August 2026.
