APPOINTMENT OF CHIEF FINANCIAL OFFICER


Pursuant to the announcement issued on 13 January 2026, notifying its debt investors that Ms Pretty
Nozipho Makukule has been appointed as Chief Financial Officer ("CFO"), with effect from 1 February
2026.

Ms Makukule's appointment is in accordance with the South African National Roads Agency Limited
and National Roads Act 7 of 1998 (the "SANRAL Act"), which does not include CFO as member of the
Board.

In terms of the founding legislation of SANRAL, the CFO is not a member of the Board, but for good
governance purposes the holder of the position is treated as if he/she were a member of the Board
would be treated.

SANRAL confirm that the audit and risk committee is satisfied with the expertise and experience of the
CFO.
