Finalisation announcement regarding the special ordinary dividend

Shareholders are referred to Grindrod's interim results for the six months ended 30 June 2025
announced on SENS on 22 August 2025 ("Interim Results") which included the declaration of
a special ordinary dividend of 32.30000 cents per ordinary share, subject to a local dividends
tax for those shareholders who are not exempt from paying dividend withholding tax.

The Interim Results stated that the special ordinary dividend was subject to Exchange Control
approval by the South African Reserve Bank and shareholders are now advised that Exchange
Control approval has been obtained.

The salient dates for the special ordinary dividend remain unchanged as declared in the
Interim Results.
