DIRECTORS AND COMPANY SECRETARY TAKE UP OF SCRIP DISTRIBUTION


 All capitalised terms used but not defined in this announcement shall have the meanings ascribed to
        them in the cash dividend and scrip distribution alternative circular dated 3 June 2026.

Datatec Shareholders ("Shareholders") are referred to the announcement regarding the results of the
cash dividend and the scrip distribution alternative which was released on SENS on Monday, 20 July
2026 in which Shareholders were referred to paragraph 7 of the circular dated 3 June 2026, which sets
out that Messrs Jens Peter Montanana (Chief Executive Officer), Ivan Philip Dittrich (Chief Financial
Officer) and Simon Morris (Company Secretary) hold certain Datatec Ordinary Shares in escrow under
the Deferred Bonus Warrants scheme ("DBW Scheme"). In terms of the rules of the DBW Scheme,
these shares are required to receive the Scrip Distribution. In addition, these directors and the Company
Secretary may elect to receive the Scrip Distribution of new, fully paid Datatec Ordinary Shares in
respect of all or most of their ordinary shareholding in Datatec, in the same way as other shareholders.

The details of the directors and company secretary of the Company who received Datatec ordinary
shares on 20 July 2026 under the terms of the Scrip Distribution are set out below, showing the
transaction value at the price per Scrip Distribution share of ZAR 85.07.

     a) In accordance with the rules of the DBW Scheme the following participants elected the Scrip
        Distribution Alternative:

        subject to the DBW Scheme and received Scrip Distribution shares as shown:
